Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PassPer platform, operated by AutoNMS (Reg. No. HE477557), registered in Cyprus, trading as PassPer ("PassPer", "we", "us"). By creating an account or using the platform you agree to these Terms.

1. The service

PassPer provides software-as-a-service tooling for authoring, managing, and publishing EU Digital Product Passports (DPPs) in accordance with EU Battery Regulation 2023/1542 and the Ecodesign for Sustainable Products Regulation (ESPR). The platform includes the operator console, the public passport viewer, the supplier data-collection portal, and associated APIs.

2. Eligibility and accounts

You must be at least 18 years old and acting on behalf of a registered legal entity to use PassPer. You are responsible for keeping your credentials confidential. You must notify us immediately at hello@passper.eu if you suspect unauthorised access to your account.

3. Subscriptions and payment

Paid plans are billed monthly or annually in advance via Stripe. Prices are shown excluding VAT; EU VAT is added at checkout where applicable. Plans auto-renew until cancelled. You may cancel at any time; access continues to the end of the current billing period. We reserve the right to change prices with 30 days' notice.

Overdue invoices may result in suspension of the service after a 14-day grace period.

4. Fair use

Each plan includes usage limits (passports, API calls, team seats) as stated on the pricing page. We may throttle or suspend accounts that materially exceed their plan limits or that use the service in a way that degrades performance for other users.

5. Acceptable use

You must not:

  • Use the platform to publish false, misleading, or fraudulent product data
  • Attempt to circumvent access controls, rate limits, or tenant isolation
  • Reverse-engineer, scrape, or systematically harvest data from the platform
  • Use the platform in violation of any applicable law or regulation
  • Resell or sublicense the service without a written reseller agreement with PassPer

6. Your data

You retain ownership of all product data you upload. By using the platform you grant PassPer a limited licence to store, process, and transmit that data solely to provide the service. We process personal data within that content as a data processor on your behalf; our Privacy Policy governs how we handle personal data about you and your team members as a controller.

Product passport data required to be retained under EU Regulation 2023/1542 will be preserved for the statutory period even after account deletion, in compliance with EU law.

7. Intellectual property

PassPer and all platform software, design, and documentation are owned by AutoNMS Nothing in these Terms transfers any intellectual property to you. You may not copy, modify, or distribute any part of the platform software.

8. Availability and SLA

We target 99.5% monthly uptime for the console and public passport viewer, measured excluding scheduled maintenance windows. Scheduled maintenance is announced at least 48 hours in advance. We do not offer contractual SLA credits on the Starter plan; Business and Enterprise plans may include SLA credits as specified in their order agreements.

9. Warranties and liability

The platform is provided "as is" to the extent permitted by applicable law. We do not warrant that the platform will be error-free or that DPPs generated through it will satisfy every regulatory authority's requirements without review. You are responsible for the accuracy and completeness of the data you submit.

To the fullest extent permitted by law, PassPer's total liability for any claim arising out of these Terms is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.

10. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by law. On termination you may export your data via the platform's export feature for 30 days; after that, data is deleted (subject to the statutory retention obligation in clause 6).

11. Changes to these Terms

We will notify registered users of material changes by email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

12. Governing law and disputes

These Terms are governed by the laws of Cyprus. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts of Cyprus, unless mandatory consumer protection laws in your country of residence require otherwise.
