Partner program terms.
The whole program on one page, in plain language. The signed agreement is three pages and says the same things — if you find a difference, the published version here wins. There are two tracks; you pick one per registered deal, and it locks with the price at registration.
00 · The two tracks
Track A: you deliver · Track B: we deliver
- Track A (Solution Partner): you run the compliance project yourself and keep 100% of your own fees; PassPer pays 35% of collected subscription revenue, monthly, recurring (sections 01–02 below).
- Track B (Delivery Partner): you sell the PassPer-delivered engagement — passports built, human-reviewed and published by us — and receive 35% of the collected service invoice (section 01-B below). Subscription renewals from year 2 carry no commission on Track B deals.
- Decision rule we apply: deals needing in-platform passport build plus supplier data-chasing are steered to Track B; deals where you own the client relationship and the compliance content fit Track A.
- Same canonical price list in both channels — your client never sees two prices for one thing.
01-B · Track B commission
35% of the collected service invoice
- Service packages and your cut: Gap Report €1,900 → €665 · Passport Sprint €4,900 → €1,715 · Passport Launch €9,500 → €3,325 · Passport Program €15,000 → €5,250.
- Paid on collected cash plus delivery acceptance, never at signature. Gap Reports pay on collection; Sprint/Launch/Program pay 50% at milestone 1 (readiness report + passport skeleton) and 50% at milestone 2 (publication).
- 100% clawback on refunds.
- Where a package bundles a year-1 subscription, the 35% covers it once; year-2+ renewals are commission-free on Track B deals.
- Gap Report fees are 100% credited against a Launch/Program upgrade within 60 days; because commission is a share of collected euros, the credit nets out automatically — no double pay, no shortfall.
01-C · Delivery capacity — published, enforced
We do not let anyone sell what we cannot deliver
- Maximum 3 concurrent delivery engagements (a Program counts as 2), plus a monthly cap on Gap Reports. The deal-registration form checks open slots; when we are sold out, your registration takes a dated waitlist position instead of a delivery promise.
- Delivery windows are quoted only as "15 business days from complete intake" (milestone 1) and "20 business days from the last mandatory field received" (milestone 2) — never as calendar dates.
- Nobody — including us — promises "compliant by 18 February 2027" while supplier-held fields are outstanding.
01 · Track A commission
35% of collected subscription revenue
- Calculated on what the referred customer actually pays PassPer (net of VAT and refunds).
- Paid monthly in arrears by SEPA transfer, from the first euro — no minimum payout threshold, no quarterly batching.
- Runs for the duration of the referred customer's subscription, while you remain in the program in good standing.
- A worked example: one client on Growth (€159/month) pays you €55.65/month — €668/year while they stay subscribed. Commission stops if the client churns.
- Your own consulting, onboarding and data work is invoiced by you, at your rates, and is 100% yours. We take no share of it.
02 · Attribution
Referral code at signup
- You get a personal referral link (e.g.
app.passper.eu/register?ref=PP-XXXXXX). A customer who signs up through it is attributed to you at tenant creation.
- Referred signups get a 30-day trial instead of the standard 21 days.
- Self-serve signups without your code are house deals — attribution cannot be added retroactively.
03 · Deal registration
First registration wins, by company domain
- Register a prospect in the partner portal by company domain. The registration is timestamped and protects the account from PassPer's own outreach and from other partners for 90 days.
- Renewable once with evidence of activity (a meeting, a proposal, a trial in progress).
- Before the program opened, PassPer froze a timestamped house list of accounts already in its own direct outreach. Those domains cannot be registered — the portal tells you immediately if you hit one.
- If you demonstrably influence a house-list account's purchase anyway, you receive a 10% year-1 assist commission.
04 · What partners may claim
An approved-claims sheet, and nothing beyond it
- The partner kit includes an approved-claims sheet describing exactly what the platform and services do today. Claims beyond it are grounds for removal from the program, with a takedown clause for published violations.
- The words "certification", "certified", "accredited" and "audit-passed" are banned in every channel — PassPer is not an accredited body. The Track B deliverable is compliance-verified battery passports with a signed Field-Completeness Statement (conformity-checked against the Regulation (EU) 2023/1542 Art. 77 mandatory field list).
- Also barred: guaranteeing that supplier data arrives, fixed publication dates while supplier fields are outstanding, and carbon-footprint calculation to the delegated-act methodology (we ingest a client's CF study; we do not produce one).
- PassPer countersigns every Track B statement of work before it binds.
- This protects you as much as us: your client relationships survive on your accuracy.
05 · Program shape
Small by design
- The program is capped at five active partners while it is new, so every partner gets real attention.
- Billing stays with PassPer: your client signs up self-serve and pays PassPer directly by card. There is no partner-owned billing, wholesale pricing or white-label resale.
- Either side can end the agreement with 30 days' notice. Commission on existing referred subscriptions continues for 12 months after an ordinary termination — it stops immediately only on removal for cause (e.g. claim violations).
- No joining fees, no quotas, no minimum commitments.
06 · Applying
One qualifying question
We accept firms that already advise companies placing batteries on the EU market — CE-marking and product-compliance consultancies, EPR/WEEE/battery-law service providers, ERP integrators and battery-regulation specialists. The application asks you to name two such clients. We respond within two business days.
